Every New Jersey LLC must keep a registered agent on file, continuously, from formation to dissolution. The statute behind that is N.J.S.A. 42:2C-14, which technically calls the role an "agent for service of process." Everyone else, the state's own filing instructions included, says registered agent. Here is what the rules actually require.
What the Agent Does Day-to-Day
- Accepts lawsuits served on your company
- Receives compliance notices from DORES and other state agencies
- Fields annual report correspondence and official mail
- Holds down a New Jersey address during regular business hours
- Gets everything to you fast enough to actually respond
Not included: legal advice, courtroom representation, or running your business. The job is receipt and delivery.
Who Qualifies Under N.J.S.A. 42:2C-14
Two kinds of agent satisfy the statute:
- A resident individual of New Jersey
- A person with authority to transact business in New Jersey, the category commercial agents fall into
The DORES filing instructions frame it their own way: "The agent may be an individual or a corporation duly registered, and in good standing with the State Treasurer."
The full act is public. New Jersey's Revised Uniform LLC Act was enacted as P.L.2012, c.50; the agent provisions sit at sections C.42:2C-14 and C.42:2C-15.
