Order HereEvery New Jersey LLC must keep a registered agent on file, continuously, from formation to dissolution. The statute behind that is N.J.S.A. 42:2C-14, which technically calls the role an "agent for service of process." Everyone else, the state's own filing instructions included, says registered agent. Here is what the rules actually require.
Two kinds of agent satisfy the statute:
- A resident individual of New Jersey
- A person with authority to transact business in New Jersey, the category commercial agents fall into
The DORES filing instructions frame it their own way: "The agent may be an individual or a corporation duly registered, and in good standing with the State Treasurer."
The full act is public. New Jersey's Revised Uniform LLC Act was enacted as P.L.2012, c.50; the agent provisions sit at sections C.42:2C-14 and C.42:2C-15.

What happens if I miss my annual report?

Can my LLC be its own registered agent in New Jersey?

You can cancel at any time from your online account or by contacting support. Cancelling does not by itself remove us as registered agent on the state record; a change of registered agent or resignation filing does that.
Anything already filed with the government is not refundable. Registered agent fees are not refundable once we or our partner have been appointed with the state. State fees are not refundable once paid to the state.
